Terms of Service

These Terms constitute a legally binding agreement between you and SpendGuard, Inc. ("SpendGuard," "we," "us," or "our"). You must be at least 18 years old and capable of forming a binding contract to use our services. By using SpendGuard, you represent that you meet these requirements.

SpendGuard provides an AI-powered personal finance management platform that includes transaction tracking, budgeting tools, financial goal planning, a FIRE (Financial Independence, Retire Early) planner, net-worth tracking, loan management, and AI-generated financial insights.

SpendGuard is a financial management tool, not a licensed financial advisor. Nothing on the platform constitutes financial, investment, legal, or tax advice. Always consult a qualified professional before making significant financial decisions.

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your password and for all activity that occurs under your account. You must notify us immediately at support@spendguard.app if you suspect any unauthorised access to your account.

One person or entity may not maintain more than one free account. You may not use SpendGuard for any purpose that is illegal or prohibited by these Terms.

Free plan. SpendGuard offers a free tier with access to core features including transaction tracking, basic budgeting, goal setting, and limited AI insights. The free tier may have usage limits that change over time.

Pro plan. The Pro plan provides unlimited AI insights, advanced FIRE planning, bank connectivity via Plaid, priority support, and additional features as announced. Pro is billed monthly or annually at the price shown at checkout.

Billing. Paid subscriptions are billed in advance. Your payment method will be charged at the start of each billing period. All prices are in USD and exclude applicable taxes.

Price changes. We may change our pricing with at least 30 days' notice. Continued use of the service after a price change constitutes acceptance of the new price.

Cancellation. You may cancel your subscription at any time from Settings → Subscription. Cancellation takes effect at the end of the current billing period. You retain access to Pro features until the end of your paid period.

Refunds. We offer a 7-day money-back guarantee on your first subscription payment. Refunds for subsequent billing periods are issued at our discretion and generally only when a material error on our part prevented you from using the service.

Account deletion. Deleting your account will cancel any active subscription immediately. Deleted accounts are not eligible for a pro-rata refund unless required by law.

Feature availability may change. We will notify you of material reductions to free-tier features with at least 30 days' notice.

You agree not to:

• Use SpendGuard for any unlawful purpose or to violate any laws
• Attempt to gain unauthorised access to other users' accounts or our systems
• Reverse engineer, decompile, or disassemble any part of the service
• Scrape, crawl, or use automated means to access the service without our written consent
• Upload malicious code, viruses, or any software that could harm the service or other users
• Use the AI Advisor to attempt to circumvent financial regulations or engage in fraud

SpendGuard and its content, features, and functionality are owned by SpendGuard, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or brand without our written permission.

You retain ownership of all financial data you enter into SpendGuard. By using the service, you grant us a limited licence to process your data for the purpose of providing the service.

Disclaimer of warranties

SpendGuard is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of viruses. Financial calculations are provided for informational purposes only and may not reflect your actual financial situation.

Limitation of liability

To the fullest extent permitted by law, SpendGuard, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the service. Our total liability to you for any claims arising from these Terms or your use of SpendGuard shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless SpendGuard, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the service or violation of these Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of SpendGuard shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in class-action lawsuits or class-wide arbitration against SpendGuard.

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of SpendGuard after the effective date of changes constitutes acceptance of the updated Terms.
